Operator & Scope

These Terms of Use govern your access to and use of all services provided by Neuro Foundation LLC (“Operator,” “we,” “our”), a company incorporated in Delaware, United States, including: Company address: Neuro Foundation LLC, 1111B S Governors Ave STE 28958, Dover, DE 19904 The Services provide access to interact with Neurobro, an AI agent powered by a decentralized network of specialized AI sub-agents (“Nevrons”), as well as trading and swap functionality through NeuroDex. All Services are strictly non-custodial: we never hold, control, or have access to your private keys or funds. Neurobro uses internal tools that connect to third-party platforms, including TikTok, for content creation, publishing, and performance analytics on behalf of our marketing team. These integrations are used solely for Neurobro’s own content operations and are not available to end users.

1. Eligibility and Access

1.1 Age and Capacity Requirements

You must be 18 years or older and able to enter a binding contract. You represent and warrant that you are of legal age and possess the capacity in your jurisdiction to enter into binding agreements.

1.2 Prohibited Jurisdictions

You may not access the Services if you are:
  • a resident or national of Cuba, Iran, North Korea, Syria, Crimea, Donetsk, Luhansk, or any territory subject to comprehensive sanctions; or
  • listed on any sanctions list maintained by OFAC, the United Nations Security Council, the European Union, or other applicable authorities.
By using our Services you represent and warrant that you are not a Prohibited Person and are not using VPNs or other means to bypass geo‑controls.

1.3 Subscriptions and Access Tiers

Access to premium features of the Services (e.g., higher daily AI request limits, faster responses, alpha reports) requires an active subscription (Pro or Ultra). Subscriptions are available via Stripe (web) or in-app purchase through the Apple App Store or Google Play Store. See Neurobro Pass for current pricing and tier details. Alternatively, holding a minimum amount of $BRO tokens in a linked wallet may unlock higher access tiers without a paid subscription. Token thresholds and tier mappings are described on the Neurobro Pass page and may be adjusted at any time.

1.4 Social Media Interactions

Neurobro actively posts content on various social media platforms. While you may interact with Neurobro on these platforms, responses are not guaranteed. Guaranteed access to Neurobro’s insights is provided exclusively through our Services.

2. Non‑Custodial Nature

IMPORTANT: All Services are strictly non-custodial. You access the Services through Neurobro Pass, which supports sign-in via social accounts (Google, Apple, Email), Telegram, Web3 wallets, or mini-apps. For on-chain interactions, you connect a self-hosted wallet (MetaMask, WalletConnect, Rabby, etc.). All transactions are signed by you and broadcast directly to the relevant blockchain. We cannot freeze, reverse, access, or control your assets at any time. Because we do not hold customer funds, the Operator is not a “money‑services business” under U.S. FinCEN guidance, nor a “custodian wallet provider” under applicable regulations. You maintain full control and responsibility for your digital assets.

3. Nature of Neurobro’s Intelligence

3.1 AI Ecosystem Disclaimer

Neurobro is a collective intelligence formed by an evolving network of specialized nevrons. These nevrons process data independently and collaboratively, so outputs may vary in style, depth, or perspective.

3.2 “AI Alpha” Content

The Services may generate price targets, stop‑losses, technical charts, or token lists using machine‑learning models (“AI Alpha”). AI outputs may be inaccurate, outdated, or contradictory. Nothing presented constitutes investment advice, portfolio management, or a recommendation to buy or sell any asset. You remain solely responsible for your trading decisions.
Information provided through any of our Services, including any content generated by Neurobro, does not constitute investment, financial, legal, regulatory, accounting, or tax advice. Nothing herein shall be construed as a solicitation, recommendation, or offer to acquire or dispose of any security, commodity, or other financial instrument. You must consult independent, qualified professionals before making decisions related to the Token or any associated activities.THE TOKEN DOES NOT CONFER OWNERSHIP INTERESTS, GOVERNANCE RIGHTS, EQUITY STAKES, OR ANY OTHER RIGHTS IN ANY ENTITY OR PROJECT. Neurobro is an AI agent, and AI agents can produce inaccurate or misleading information (“hallucinations”). You acknowledge that any decisions you make based on the content are made at your own risk. Always verify information through independent means.

3.4 Accuracy and Reliability

Neurobro’s nevrons analyze real-time data from social media, on-chain activity, and third-party sources. While we strive for accuracy, content may contain errors, omissions, or outdated information due to the volatile nature of crypto markets. Use content at your sole risk.

4. Fees

​
4.1 Subscription Fees

Paid subscriptions (Pro, Ultra) are billed on a recurring basis (monthly or annual) at the prices listed on the Neurobro Pass page. Subscriptions auto-renew unless cancelled before the end of the current billing period.
  • Web subscriptions are processed by Stripe. Manage or cancel at neurodex.ai/user/plans.
  • Mobile subscriptions are processed by the Apple App Store or Google Play Store. Manage or cancel through your device’s subscription settings.
Refunds are handled according to the policies of the respective payment processor (Stripe, Apple, or Google). We do not guarantee refunds for partial billing periods. Prices may change with reasonable notice; existing subscribers will be notified before any price increase takes effect.

4.2 Swap and Network Fees

The Operator does not charge a platform fee for swaps executed via the Services. You remain responsible for:
  • Network (gas) fees charged by the relevant blockchain(s);
  • Any third‑party protocol, liquidity provider, bridge, or aggregator fees associated with the underlying route (e.g., fees imposed by integrated DEXs/partners such as those available via Rango routing);
  • Slippage and price impact.
We do not charge a referral fee on swaps. Any previously published swap fee/referral structures are deprecated as of Nov 06, 2025. The Services may display promotional offers or referral links to third-party cryptocurrency exchanges and services. These offers are region-specific and determined by your detected country (see our Privacy Policy for details on how we determine your location). When you sign up for or use a third-party service through an affiliate link displayed in our Services, the Operator may earn a commission from that third party. This does not affect the price you pay. The Operator does not endorse, guarantee, or assume responsibility for any third-party service. You are solely responsible for evaluating and complying with the terms of any third-party service you choose to use.

5. AML & Sanctions Controls

We screen users against global sanctions lists maintained by OFAC, the United Nations, the European Union, and other applicable authorities. Users or wallet addresses linked to sanctioned entities are blocked from using the Services. The Operator maintains a blacklist of prohibited addresses and reserves the right to update this list at any time without prior notice.

6. User Responsibilities

6.1 Input Quality

Your prompts, questions, or data (“User Content”) directly influence Neurobro’s responses. You agree to provide clear, truthful, and respectful inputs. We reserve the right to block abusive, manipulative, or harmful User Content.

6.2 Prohibited Uses

You agree not to use the Services or Neurobro to:
  • Violate any laws, regulations, or third-party rights;
  • Spread misinformation, spam, or malicious code;
  • Scrape data, reverse-engineer models, or disrupt infrastructure; or
  • Engage in market manipulation, scams, or harassment.

6.3 Sharing Conversations

By sharing Service interactions publicly, you grant us a non-exclusive, royalty-free license to use, modify, and distribute such Content for promotional or improvement purposes.

7. No Fiduciary Duties & Assumption of Risk

Digital‑asset prices are highly volatile; smart contracts can fail. You assume all risks, including but not limited to:
  • underlying‑protocol bugs (Uniswap, Rango, or other pools),
  • miner‑extractable value, front‑running, sandwich attacks,
  • network congestion, gas‑fee spikes, or node outages,
  • inaccuracies in AI‑generated content.
The Operator owes no fiduciary duty and disclaims liability except as expressly set out herein.

8. Intellectual Property

8.1 Ownership

“Neurobro”, “NeuroDex”, and associated logos are trademarks owned by Neuro Foundation LLC. All software code, text, and graphics on the Services are either owned by or licensed to the Operator and are protected by copyright law. You may not copy, redistribute, or create derivative works without our express written permission.

8.2 User-Generated Content

By submitting User Content, you grant us a perpetual license to use it for training Neurobro’s nevrons, improving Services, and developing new features.

9. Data and Privacy

9.1 Nevron-Driven Data Processing

Neurobro’s nevrons may process User Content, queries, and usage patterns across decentralized systems to generate insights. Data may be stored on third-party platforms for analytics, error tracking, or model training.

We adhere to applicable data protection laws. For details on data collection, storage, and sharing, review our Privacy Policy.

9.3 Minimal Data Usage

We store the minimal data required to operate the Services.

9.4 Personalization Data (Alpha Profile)

To tailor Neurobro’s responses, you may choose to provide optional personalization data (e.g., trading goals, experience level, life stage, strategy style, discovery breadth, decision speed, custom instructions for the AI Agent). This data is:
  • used only to personalize your experience in Neurodex and related mini apps
  • not publicly available and not visible to other users
  • not sold or licensed to third parties
You can remove this data at any time in your settings, including by clicking “Delete profile”. When you delete it, we permanently erase it from our systems and do not retain internal backups or archived copies.

10. Disclaimers and Limitation of Liability

10.1 No Warranties

THE SERVICES AND NEUROBRO ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, INCLUDING ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSSES (INCLUDING LOST PROFITS OR LOST DATA) ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Third-Party Risks

Neurobro may integrate or reference third-party data sources (e.g., blockchain APIs, social media). We do not control these external sources and disclaim responsibility for their accuracy, security, or any resulting damages.

11. Modifications & Termination

We may amend these Terms by posting an updated version. Continued use after the “Last Updated” date constitutes acceptance. We may suspend or terminate access without notice if you breach these Terms or applicable law.

11.1 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from or related to your misuse of the Services or your breach of these Terms.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States. Any dispute shall be finally settled by arbitration under the Delaware Arbitration Rules, with arbitration proceedings conducted in Delaware. The resulting award shall be enforceable in any competent court.
